Transaction Structure and Market Scale

According to terms reviewed by Reuters, Alibaba is offering 710 million ordinary shares at HK$112.70 per share, representing a 3.6% discount to its latest closing price on the Hong Kong exchange.

The transaction marks the largest primary follow-on offering ever completed by a Hong Kong-listed entity and stands as the largest Regulation S equity offering on record. Globally, it represents the third-largest primary follow-on share sale of 2026, trailing only offerings from Alphabet ($80 billion) and Intel ($15 billion).

The offering was structured as an offshore transaction under Regulation S, excluding direct participation from U.S. investors. Joint bookrunners on the deal include Morgan Stanley, HSBC Holdings, UBS Group, and China International Capital Corporation (CICC). The placement attracted heavy demand from institutional investors and sovereign wealth funds, prompting Alibaba to increase the total offering size after order books were oversubscribed. The transaction includes a standard 90-day lockup agreement.

Full-Stack AI Capital Deployment

Alibaba confirmed that all net proceeds will be directed into its vertically integrated AI ecosystem, spanning three primary layers:

  1. Custom Silicon: Accelerating development and deployment of proprietary server processors and accelerators, including the T-Head semiconductor portfolio and XuanTie RISC-V compute cores.
  2. Cloud Infrastructure: Expanding high-density AI data center footprints, liquid cooling capacity, and high-throughput networking fabric across Alibaba Cloud availability zones.
  3. Foundation Models and Tooling: Scaling pre-training compute, post-training alignment, and global inference serving infrastructure for the open-weight Qwen model family and agent runtimes.

Capex Trajectory and Payback Economics

The capital raise coincides with accelerated infrastructure spending across major AI developers. Alibaba disclosed that it has already deployed nearly half of its three-year capital expenditure budget to support surging compute demand.

Despite near-term margin pressure, Chief Executive Eddie Wu indicated that the payback timeline for AI capital investments has contracted from an estimated 3.0 years down to 2.5 years, driven by enterprise adoption and escalating API token throughput.

To concentrate balance sheet resources on AI infrastructure and core commerce, Alibaba has also been divesting non-core holdings, including the recent sale of its gaming division Lingxi Games to Trustar Capital for at least $1.5 billion. The fresh $10.2 billion capital injection positions Alibaba to maintain competitive parity with global hyperscalers in frontier training capacity and low-cost API inference delivery.
